Key Takeaways

  • •Thailand's SEC issued 11 notifications on October 8 establishing the legal framework for domestic Bitcoin and Ethereum ETFs, which must list and trade exclusively on the Stock Exchange of Thailand.
  • •During the initial phase, only Bitcoin and Ethereum qualify as eligible underlying assets, and each ETF must passively track a single asset while maintaining average net exposure of at least 80% of its net asset value.
  • •Investors must receive product-risk education before trading, and securities companies are barred from extending margin loans for crypto-ETF purchases.
  • •Crypto assets held by the funds must be safeguarded by licensed digital-asset custodians, and any outsourced investment management must use a licensed digital-asset fund manager.
  • •No ETF has been launched under the framework yet, as issuers must still publish a prospectus, appoint service providers and complete the SET listing process before trading can begin.
Thailand's Bitcoin and Ethereum ETF Rules Take Effect

Thailand's full rule package for domestic cryptocurrency exchange-traded funds is now in force, establishing the legal route for Bitcoin and Ethereum ETFs to be created and listed in the country. The framework does not yet announce a fund, ticker or first trading date — before investors can buy a Thai crypto ETF, an issuer must still publish its prospectus, appoint service providers and complete the listing process.

In an announcement on October 8, the Thai Securities and Exchange Commission (SEC) set out 11 notifications governing the creation and supervision of domestic crypto ETFs, detailed in the regulator's notice. The package covers fund structures, service providers, investor protections and the ability of Thai funds to invest in locally listed crypto ETFs. It follows the policy move that cleared the way for locally listed Bitcoin and Ether ETFs. The rules now define the route a fund manager must follow, but they do not establish that any issuer has completed it.

What a Thai Bitcoin or Ethereum ETF must look like

During the initial phase, Bitcoin and Ethereum are the only eligible crypto assets. The SEC said it will determine any future additions by considering factors including liquidity, broad market acceptance, network security and investor protection.

Under the fund-design rule, each crypto ETF must passively track a single eligible crypto asset and maintain average net exposure of at least 80% of its net asset value over each accounting year. Crypto ETFs must list and trade exclusively on the Stock Exchange of Thailand (SET). Thai mutual funds and private funds may also invest in locally listed crypto ETFs, subject to their existing investment limits, although permission to invest does not require any fund manager to allocate capital.

The SEC has also restricted certain foreign alternatives during the initial phase. Thailand will not permit locally issued depositary receipts referencing foreign crypto ETFs, while securities companies may not facilitate foreign crypto-ETF investments for clients who are neither institutional investors nor ultra-high-net-worth investors. Read together with the SET-only listing requirement, these limits mean locally listed crypto ETFs would be the crypto-ETF format that securities companies can offer to clients outside those categories — which is why the launch steps described below determine when that access route actually opens.

Who manages, safeguards and distributes a future fund?

Investors in an ETF hold fund units rather than the underlying Bitcoin or Ethereum themselves. The framework therefore places obligations on the parties responsible for managing the fund, safeguarding its assets and providing trading access.

Qualified digital-asset operators may apply to act as mutual fund supervisors, but eligibility to apply is not the same as being registered or appointed to a specific ETF. If a supervisor delegates safekeeping to a sub-custodian, the crypto assets must still be held by a licensed digital-asset custodian. The SEC may allow qualified foreign custodians in future circumstances, but its October 16 rules do not provide unrestricted permission to use them. Asset managers that outsource digital-asset investment management must use a licensed digital-asset fund manager.

Investor access comes with risk checks and no margin loans

Before trading a crypto ETF, investors must receive product-risk education and acknowledge their understanding of the risks. Brokers must also emphasize suitable allocation, concentrated digital-asset exposure and investment decisions that match an investor's risk tolerance.

Securities companies cannot provide margin loans for crypto-ETF purchases. The restriction is designed to prevent broker-provided leverage from increasing an investor's exposure to an already volatile asset class.

What must happen before investors can buy one

Thailand's rules enable an ETF launch process; they do not replace it. A prospective issuer must still complete SET's ETF issuance and listing process and publish product-specific documents. The first prospectuses and listing notices should identify the fund's investment method, fee structure, custodian, fund supervisor, market-making arrangements, ETF symbol and trading date. SET's broader ETF framework also covers disclosures around asset values, tracking information and the participants supporting trading liquidity.

The October 16 rules establish the legal route to a Thai Bitcoin or Ethereum ETF. A named issuer, published terms and a confirmed SET listing will show when investors can actually trade one.
