Ripple Prime, the non-bank prime brokerage unit of Ripple, has completed an upsized $275 million private placement of senior unsecured notes, securing fresh financing as demand continues to rise for crypto and multi-asset financial services.
Ripple announced on August 18 that the offering attracted institutional investors across major financial markets, according to the company. Ripple said the proceeds will be used for working capital and general corporate purposes within its regulated business.
Ripple Prime Raises $275 Million
The fundraising comes as Ripple Prime expands its role in institutional digital-asset markets. The unit grew out of Ripple's acquisition of prime brokerage Hidden Road, announced in April 2025 in a deal valued at roughly $1.25 billion. Rather than focusing only on crypto trading, the business provides infrastructure across areas such as clearing, prime brokerage and financing. That gives Ripple more room to invest in the technology and staff needed to support institutional clients dealing with digital assets and other financial products.
BBB Rating Adds Credit Signal
KBRA assigned Ripple Prime a BBB rating, an investment-grade assessment that serves as an independent evaluation of the prime brokerage's credit profile as it faces the prospect of large private borrowings.
Because senior unsecured notes are not backed by specific collateral, repayment rests on the issuer's general creditworthiness, which makes an independent rating a key reference point for fixed-income investors. KBRA — Kroll Bond Rating Agency — is registered with the U.S. Securities and Exchange Commission as a nationally recognized statistical rating organization.
"The robust success of the offering demonstrates investor faith in the company and its future role on the traditional finance side of the digital asset space," said Ripple Prime President Noel Kimmel.
The new financing also provides Ripple Prime with another source of capital to pursue its expansion plans without having to rely solely on funding from Ripple.
Ripple Pushes Institutional Crypto Infrastructure
The latest financing reflects another facet of Ripple's strategy to create infrastructure for institutions seeking to enter or grow their digital-asset businesses. Ripple's business has evolved beyond payments to include custody, liquidity and treasury management services, and XRP and its stablecoin, RLUSD, are being integrated into its digital-asset portfolio.
Ripple Prime is a vital component of that strategy, since institutional crypto customers typically need more than just access to tokens. They also require trading platforms, financing, clearing and custody services similar to those found in traditional financial markets. Rivals such as Coinbase Prime and Galaxy Digital's prime brokerage compete for the same institutional business by bundling comparable trading, financing and custody services. The $275 million capital injection can support Ripple Prime in expanding those offerings to satisfy growing institutional demand.
Ripple did not specify the identities of any investors in the notes offering, nor did it provide a breakdown of the specific projects to which proceeds will be applied.
Capital Supports Ripple's U.S. Growth
The financing will allow the company to continue and expand its U.S. operations, with the U.S. market clearly the focus of the initiative. The closing also comes as Ripple expands its institutional presence globally, including recent collaborations with financial institutions in Asia.
Crypto-native firms have more often funded growth through equity and venture capital than through rated debt, making an investment-grade private placement a comparatively unusual funding route in the sector. The deal carries significance for the crypto industry in that it merges institutional debt financing, a regulated financial structure and digital assets in a single transaction. With an investment-grade BBB rating from KBRA, Ripple Prime now has the means to invest from a strengthened position.
