Key Takeaways

  • LIG Assets' subsidiary Gold Run has fully paid for and initiated Phase I of an S-K 1300 technical evaluation covering approximately 1,132 acres of calcium mining property in Marianna, Florida.
  • The company has retained experienced geology and mining professionals with backgrounds in S-K 1300 and NI 43-101 reporting as well as U.S. Department of Defense projects, though their identities remain undisclosed under nondisclosure agreements.
  • A 2009 historical report valued roughly 200 acres of the mine at approximately $400 million based on $8.50 per ton, while Gold Run now controls about 1,132 acres and current base-market pricing may start near $18.50 per ton.
  • The strategic technical advisor is evaluating whether advanced refining technology could raise calcium purity to as high as 99.999999%, potentially enabling certain specialized calcium products to reach market values of up to approximately $2,000 per ton.
  • LIG Assets also plans to overhaul its branding and corporate structure as it believes this will enhance shareholder value alongside the ongoing technical validation process.

LIG Assets, Inc. (OTC: LIGA) has announced that its wholly owned subsidiary, Gold Run, Inc., has signed and fully paid for a contract to commence Phase I of the S-K 1300 technical evaluation of its approximately 1,132-acre calcium mine located in Marianna, Florida. Initial technical work is expected to begin within the next few weeks.

Due to nondisclosure agreements, the company is not revealing the identities of the top-tier geologist and strategic technical advisor engaged for the project, nor the contracted firm. However, LIG Assets noted that the individuals and firm involved bring experience in geology, mining engineering, S-K 1300 reports, NI 43-101 technical reports, and projects associated with the U.S. Department of Defense.

Phase I of the evaluation will encompass reviewing historical geological data, developing testing procedures, assessing the calcium resource, and determining what additional work is required to produce a full S-K 1300-compliant technical report. Regulation S-K 1300, which replaced the SEC's long-standing Industry Guide 7 and began taking effect for fiscal years starting on or after January 1, 2021, establishes the SEC's disclosure requirements for publicly traded mining companies that report material mineral resources and reserves in the United States. The framework aligns U.S. reporting more closely with international standards such as NI 43-101, which is widely used in Canada, and provides investors with more standardized information about mineral resource estimates.

LIG Assets believes that completing this process will yield the independent technical documentation necessary to evaluate and support the potential value of the Marianna mineral resource. The findings could also assist the company in determining the appropriate financial treatment of the property on its consolidated balance sheet, subject to independent audit and SEC and tax requirements.

"Any larger publicly traded mining company considering a future acquisition, partnership, or joint venture involving the property would likely require this level of independent technical validation," management stated. "Rather than waiting for a potential transaction, LIG Assets has chosen to complete the necessary work upfront. We believe this approach will strengthen our ability to enter discussions with potential strategic partners or purchasers, independently validate the resource, and maximize the potential value of the property for both the Company and its shareholders."

Historical reports from 2009 estimated the mine's value at approximately $400 million, based on roughly 200 acres and an assumed value of about $8.50 per ton. Gold Run now controls approximately 1,132 acres, and management believes current base-market pricing may start at around $18.50 per ton. While the company expects the updated evaluation to exceed the historical valuation, the final value will depend on confirmed mineral quantities, calcium purity, recoverability, processing costs, market conditions, and independent findings.

The strategic technical advisor is also assessing whether advanced refining technology — originally developed for specialized applications — could increase calcium purity to levels as high as 99.999999%. If successful, certain specialized calcium products could command market values of up to approximately $2,000 per ton. These higher valuations remain contingent on successful testing, processing validation, and commercial feasibility. High-purity calcium compounds are used across a range of industrial and technology applications, including steel manufacturing, construction materials, pharmaceuticals, and specialty chemical processes, where purity grades can significantly affect end-use suitability and pricing.

LIG Assets, through Gold Run, Inc., retains full control over the property's future development and operation.

"This is an important milestone for LIG Assets," management said. "We have completed the contract and payment requirements and are now moving into Phase I of the technical validation process. The S-K 1300 report is expected to help establish the size, purity, commercial potential, and appropriate financial value of this important calcium resource."

Additionally, management indicated that the company plans to revamp its entire branding and corporate structure, a move they believe will enhance value for LIG Assets and its shareholders. The company expects to provide further updates as Phase I progresses and testing begins.
