Vertiv Holdings announced Wednesday that it will acquire Utility Innovation Holdings, also known as UtilityInnovation Group (UIG), for $1.45 billion in cash. The agreement also includes up to $1.15 billion in contingent payments tied to EBITDA targets over 12- and 24-month periods, bringing the total potential deal value to $2.6 billion.

These capabilities address a major industry bottleneck: as AI data center demand grows, getting connected to the grid quickly has become one of the biggest constraints operators face. Interconnection queues and utility capacity limits across major markets have stretched the timeline for bringing new data center capacity online, pushing operators toward on-site and alternative power solutions.
Vertiv said the addition of Utility Innovation's technology is expected to "help data center operators secure power faster as grid constraints increasingly limit AI infrastructure deployment."
Microgrid systems can coordinate on-site power generation and energy storage, reduce dependence on utility grids, and even feed power back into the grid when needed. Through the deal, Vertiv adds microgrid controls, on-site generation, energy storage orchestration, and behind-the-meter architecture to its existing data center infrastructure portfolio, which spans power management, thermal management, and services for critical digital infrastructure.
Deal Comes as AI Backlash Grows
The timing of the acquisition is notable. There has been growing political and community opposition to connecting large AI data centers to municipal power grids. By expanding its microgrid capabilities, Vertiv is positioning itself to help customers work around those constraints rather than fight them.
Vertiv noted that power architecture decisions made early in site development can have major downstream effects on infrastructure build-out.
The move also aligns with a broader industry shift in which data center equipment and power players have been acquiring energy management capabilities, as hyperscalers and colocation providers increasingly treat power availability as a primary constraint on AI build-outs.
