Umia, a full-stack platform for launching, structuring, and governing projects onchain, has opened the token auction for $UMIA, its own token and the first launched through its system. The early-bid window is now live, and a public round will open to everyone from 29 August to 2 September on Base via umia.finance.

The platform says its aim is to create a framework that treats tokens as real financial primitives. In many crypto projects, equity directly controls revenue and intellectual property, while the token exists onchain without a defined connection to either. Umia says each project launched through its system, including Umia itself, is structured as a Sub Company within a Cayman Segregated Portfolio Company built on the MetaLex BORG framework. According to the company, this places the intellectual property, operating team, and treasury under one structure and removes the need for a foundation, DAO, or labs split. $UMIA is the first token issued on the platform, and its treasury and governance run through decision markets.

In decision markets, board-level choices are priced rather than voted on. Markets estimate the project’s value under each option, and a proposal executes only if the market values the project higher with it than without it. The system can also handle multi-option decisions, such as which chains to deploy on or which budget to adopt. Umia said the proceeds from the $UMIA auction flow directly to the non-custodial treasury governed by these markets.

The sale uses Umia’s native auction protocol, which is based on Uniswap’s Continuous Clearing Auction design. Bidders submit a budget and a maximum price, all bids clearing at a given moment pay the same price, and any unspent budget is refunded. The early-bid window is gated by zkTLS eligibility proofs generated through the Umia browser extension and is reserved for onchain builders, capital allocators, and futarchy traders. After the early-bid window ends, the public round opens to everyone. Bidding is denominated in USDC, with card deposits supported via Privy. Trading will begin at auction close with protocol-owned liquidity on Uniswap v4.

$UMIA has a total supply of 50 million tokens. Of that amount, 40 million are allocated at launch, while the remaining 10 million form a performance reserve that unlocks only if milestones are met. From day one, 61% of the 40 million will be in circulation. That includes the 17.3 million tokens sold in the Tailored Auction, which have no lockup, as well as the treasury, liquidity, and incentive allocations held by the protocol. Allocations to backers, service providers, and the team account for the rest and vest over 36 months after a 12-month cliff. Those allocations include 10.15 million tokens for backers, 3 million for service providers, and 2.5 million for the team.
