PH Resorts Board Approves Transfer of PH Travel to Parent Udenna Corp.

PH RESORTS Group Holdings, Inc. said its board has approved a proposed restructuring that would transfer the company's ownership in PH Travel and Leisure Holdings Corp. to parent firm Udenna Corp., part of an effort to simplify the group's corporate structure and strengthen its financial position.

PH Resorts is the listed hotel and gaming arm of Udenna Corp., the diversified conglomerate controlled by businessman Dennis A. Uy. The company has been developing the Emerald Bay integrated casino resort in Mactan, Cebu through subsidiary Lapu-Lapu Leisure, Inc., a project that has faced delays and funding challenges in recent years.

In a regulatory filing on Monday, PH Resorts said the restructuring is intended to rationalize its balance sheet, settle outstanding obligations, and reposition the company as a streamlined listed holding company.

"Under the Proposed Restructuring, PH Resorts shall transfer all of the issued and outstanding capital stock of PH Travel to Udenna Corp. through the settlement of advances," the company said.

According to PH Resorts, the exercise will involve a clean-up of intracompany advances, the transfer of PH Travel to Udenna, and the settlement of outstanding dues.

"The Proposed Restructuring covers the transfer of all of the outstanding capital stock of PH Travel, which, through its subsidiaries, including Lapu-Lapu Leisure, Inc., Lapu-Lapu Land Corp., and Donatela Hotel Panglao Corp., among others, holds substantially all of the Company's consolidated operating assets, properties, and related liabilities," it said.

Under the plan, Udenna is expected to acquire PH Resorts' entire ownership in PH Travel through the settlement of outstanding advances.

"The final consideration and structure for the transfer will be determined by PHR's management, provided that the same shall be fair, reasonable, and advantageous to the Company," PH Resorts said.

The company has not yet disclosed the final consideration or the payment terms for the proposed transaction.

PH Resorts added that the restructuring remains subject to negotiations, the valuation of the underlying assets and liabilities, and applicable corporate and regulatory approvals.
