After the transaction closes, Metaplanet is expected to hold approximately 95.7% of the common shares and voting power of Superplanet. In its presentation to investors, Metaplanet described the plan as an effort to replicate its Bitcoin treasury strategy in the more developed U.S. financial market.

The strategy would create a structure with two listed companies operating across Japan and the U.S. Metaplanet would continue raising capital in yen in Japan, while Superplanet would fund itself in dollars in the U.S., giving the company access to two separate funding channels as it builds out the treasury structure.
According to the plan, all Bitcoin acquired by Superplanet would remain within the Metaplanet group and be added to its total Bitcoin holdings.
A major part of the strategy could involve issuing U.S. dollar perpetual preferred stock. The proceeds could then be used to purchase additional Bitcoin for Superplanet’s treasury.
In an example included in the presentation, Metaplanet said Superplanet could raise an amount of preferred capital equal to the value of the initial 2,100 BTC position and use it to buy another 2,100 BTC. That would increase the new company’s Bitcoin holdings from 2,100 BTC to 4,200 BTC. Metaplanet estimated that the arrangement would increase Bitcoin per Metaplanet share by about 4.7%.
Investment Could Rise to $210 Million
Metaplanet also has the option to invest an additional $210 million in Superplanet. In connection with that, the company may receive long-term warrants for 381 million shares.
The transaction still requires shareholder approval, along with approval from Nasdaq and other regulators. If approved, the deal is expected to begin in the fourth quarter of 2026.
Metaplanet Holds About 43,000 BTC
Metaplanet launched its Bitcoin treasury strategy last year and has accumulated a significant amount of BTC. The company temporarily paused further purchases during the 2026 market downturn but resumed buying in July this year.
Metaplanet is currently estimated to hold about 43,000 BTC, which would make it the third-largest corporate Bitcoin investor on public record. Twenty One Capital holds 43,514 BTC, while Strategy remains the largest corporate Bitcoin holder with approximately 840,447 BTC.
