Metaplanet Puts 2,100 BTC Into Superplanet in U.S. Bitcoin Treasury Deal

Metaplanet will contribute 2,100 BTC, valued at approximately $132.1 million, to Super League Enterprise as part of a plan to create a U.S. bitcoin treasury vehicle called Superplanet, according to the company’s announcement. The transaction also includes $2.5 million in cash, bringing the total investment to $134.6 million.

After the deal closes, Super League Enterprise (Nasdaq: SLE) is expected to be renamed Superplanet, Inc. and trade under the ticker SUPA. Metaplanet said it will acquire approximately 95.7% of the company’s common stock through the exercise of pre-funded warrants. The transaction is structured as a private placement rather than a reverse merger or SPAC deal, a detail that places it within a more conventional financing framework even as it links a listed U.S. company to Metaplanet’s Bitcoin treasury strategy.

In a post on X, Metaplanet CEO Simon Gerovich said the company had been working on the project since April.

Metaplanet said its Bitcoin holdings currently stand at 43,000 BTC. The company plans to separate its capital-raising activities across Japan and the U.S., while maintaining a single unified Bitcoin treasury. Under that structure, Metaplanet will continue raising capital in Japan, while Superplanet will serve investors in the U.S. market.

The company also said any Bitcoin accumulated through Superplanet will remain with the company and be reflected in Metaplanet’s financial statements. In addition, Metaplanet said it intends to evaluate perpetual preferred shares as another financing option instead of issuing common stock. The company said this approach could increase Bitcoin attributable to common shareholders and reduce long-term dilution.

The agreement also gives Metaplanet the option to invest up to an additional $210 million in Superplanet through junior liquidity preferred stock for 24 months after closing. It will also receive 10-year warrants covering a total of 381 million common shares, with exercise prices ranging from $3 to $33.50, issued in four tranches.

Metaplanet said it will retain ownership of the securities for five years rather than selling them immediately if it later chooses to exit. The company expects the transaction to close in the fourth quarter of 2026, subject to Super League shareholder approval and regulatory approvals in Japan, the U.S., and at Nasdaq. Those approvals will determine whether the planned structure can be completed on the timeline the company outlined.

Super League’s existing gaming media business will continue operating after the name change, according to the announcement.
