Japan-based Bitcoin treasury company Metaplanet has moved into the United States market by taking control of Nasdaq-listed Super League Enterprise, which will be renamed Superplanet. The company's CEO, Simon Gerovich, disclosed the transaction on X, describing it as Metaplanet's largest expansion into the US market to date and a signal that the firm is doubling down on its Bitcoin strategy despite prevailing market conditions.
Metaplanet itself is listed on the Tokyo Stock Exchange, although its shares have been available for over-the-counter trading in the United States. The new arrangement gives the group a direct presence in the American market. It also plants a Bitcoin treasury vehicle on a US exchange at a time when the model — pioneered by Michael Saylor's Strategy, which adopted Bitcoin as its primary reserve asset in 2020 — has been copied by dozens of listed companies worldwide.
Super League Enterprise has operated as a Nasdaq-listed gaming and entertainment company, and the deal repurposes its existing listing for Metaplanet's US ambitions rather than requiring a fresh share listing by the Japanese parent.
Superplanet Seeded With 2,100 BTC
According to the announcement, Superplanet will function as a new Bitcoin treasury company within the Metaplanet Group. The Tokyo Stock Exchange-listed parent is seeding the new firm with 2,100 BTC of its own holdings, which will serve as collateral for Superplanet's Bitcoin treasury plans.
Gerovich explained the rationale behind the new company, noting that it is intended to allow the Metaplanet Group to enter the US market. In his view, the United States has the deepest capital market in the world, and Superplanet will give the group a direct presence there.
He added that the company can now raise capital in two countries to fund its Bitcoin strategy, without having to dilute its common shareholders.
"The strategy now runs on two engines. Superplanet raises in America. Metaplanet raises in Japan. Both feed a single Bitcoin position that never leaves the group. When Superplanet raises capital without adding common shares, Bitcoin per share rises there and at Metaplanet at the same time," Gerovich wrote.
The announcement further noted that Superplanet will be able to raise capital through means that are not available to the Japanese parent company. At the same time, there is also the possibility of bringing Superplanet securities to Japanese investors.
Gerovich emphasized that the deal is structured for long-term ownership. He pointed out that less than 5% of Metaplanet's Bitcoin was spent on seeding the new company, and that all Metaplanet shares in the new company have been locked for five years. The deal is expected to close by the fourth quarter of 2026, leaving a window of more than a year in which the group's holdings and market conditions can change before completion.
Bitcoin Posts Slight Gains as Demand Remains Low
Metaplanet's move comes at a time when Bitcoin treasury companies are pulling back amid market struggles. Strategy, for its part, has not purchased any BTC for more than three months as it continues to accumulate cash, which makes Metaplanet's seed of 2,100 BTC a notable counterpoint to the sector's broader retrenchment.
Metaplanet is the third-largest public Bitcoin holder, with 43,000 BTC. Unless it buys additional BTC before the deal closes, its holdings would decline to 41,900 BTC. Even so, the transaction represents a major bet on the US market.
Investors have supported the move. Metaplanet's stock gained 5% on the day to reach 228 yen, even though it remains down 43% so far this year. Whether demand confirms that turn — and whether Metaplanet adds to its holdings before the Superplanet transaction closes — are the markers to watch as the two-engine strategy comes online.
