Entrusted by the Sellers, the Bidding Company is scheduled to conduct an online public auction on the Shipbid website (www.shipbid.net) from 16:00 to 16:30 on September 16th, 2026 (Beijing Time) (the "Bidding Day"), as announced below. 2. Bidding Rules
2.1 This Bidding will be held without a reserve price. If only one bidder registers, that bidder shall be determined as the Buyer on the Bidding Day, with the purchase price being the Starting Price. If two or more bidders register, the Buyer shall be determined during the course of the Bidding. There is no Right of First Refusal in this Bidding.
The absence of a reserve price means the vessel can be sold at or above the USD 1.7 million starting price regardless of the final bid level, a structure that shifts price discovery entirely to the registered bidders.
2.2 The Starting Price is USD 1.7 million; the Bidding Deposit is USD 0.17 million (or RMB 1.2 million). The Bid Increment shall be in an integer multiple of USD 5,000.
2.3 The Purchase Price shall be settled in USD. If a Buyer paid the Bidding Deposit in RMB, that Buyer shall pay another USD 0.17 million separately to the Bidding Company's designated USD Deposit Account within three (3) Banking Days after the Auction Confirmation has been signed. The Bidding Company shall return the RMB Bidding Deposit previously paid by that Buyer via the original payment channel within two (2) Banking Days after receipt of the USD Bidding Deposit (without interest).
2.4 The Bidding Deposit of unsuccessful bidders will be refunded within two (2) Banking Days after the end of the Bidding, and no interest will accrue on any such deposit. Bank or other charges incurred in relation to the remittance of each Bidding Deposit shall be borne by the relevant unsuccessful bidders.
2.5 The Bidding will commence at 1600 hours on the Bidding Day (Beijing Time) and continue until 1625 hours (Beijing Time), after which: (A) if there are further bids after 1625 hours, the Bidding will only be deemed completed when 5 minutes have elapsed from the time of the last entered bid; or (B) if no new bid is offered 5 minutes thereafter, the Bidding will be deemed completed.
2.6 "Banking Day" means a business day (excluding Saturdays and Sundays) on which banks are open for general business at the places where the Sellers, the Bidding Company and the Escrow Agent are registered, as well as the locations of their respective account-opening banks. The time of this bidding activity shall be subject to Beijing Time (unless otherwise expressly stated).
3. Registration Requirements
3.1 Potential bidders may register to participate at any time from the date of this Announcement until immediately before the Bidding starts on the Bidding Day. However, they will only be treated as having successfully registered once the Bidding Company has received the Bidding Deposit, the potential bidder has completed registration on the bidding website, and a bidding number plate has been provided. It is therefore recommended that each potential bidder pays the Bidding Deposit and completes registration 3-5 Banking Days in advance of the Bidding Day to avoid missing the registration deadline due to unexpected delays. No registration will be accepted after 16:00 (Beijing Time) on the Bidding Day. After successful registration (as evidenced by obtaining a bidding number plate), potential bidders shall be deemed to be fully aware of, and to have accepted and complied with (and to continue to comply with) the provisions of this Announcement, the ancillary Bidding rules, Special Provisions and relevant Annexes.
3.2 This Bidding is open to any enterprise or organization that is duly and legally incorporated, in good standing, and registers successfully in accordance with this Announcement.
3.2.1 "Overseas Buyers" refers to enterprise legal persons or other organizations incorporated outside the People's Republic of China (including Hong Kong, Macao and Taiwan).
3.2.2 Qualification Verification and Liabilities of the Buyers: The overseas qualification of the Buyers shall be subject to the final verification conclusion issued by the Auctioneer/Principal in accordance with the criteria set forth in Clause 1 above. The Buyers shall independently guarantee their lawful qualification to participate in the auction. Should the auction be rendered invalid, the Sales Confirmation fail to be executed, or vessel ownership transfer registration be unprocessable due to unqualified status, the Buyers shall bear all corresponding legal consequences and economic losses solely.
3.2.3 Bidders must ensure that they are not subject to any relevant sanctions imposed by China, the United Nations, the European Union, the United Kingdom or the United States, and have the ability to make and receive payments in US dollars. During or after the Bidding, bidders must provide relevant explanations or supporting documents in response to the reasonable requirements of anti-sanction and anti-money laundering reviews.

4. Inspection Schedule and Place
The inspection arrangements will be notified separately; please contact the Bidding Company for details. Potential bidders may inspect the Vessel within the stipulated time. All expenses, risks and responsibilities of the inspectors during the process shall be borne by the potential bidders, while the Bidding Company and the Sellers shall only be responsible for reasonable coordination work. Potential bidders who fail to participate in the on-site inspection yet complete the registration procedures within the prescribed inspection time shall be deemed to have fully recognized and accepted the status quo and defects of the Vessel, including but not limited to all known and unknown defects related to the Vessel's classification status, certificates and the Vessel's conditions and other matters. Potential bidders shall not raise any objection regarding the quality or other defects of the Vessel for any reason whatsoever.
