IperionX Plans Texas Redomiciliation to Advance US Titanium Supply Chain

IperionX (ASX:IPX) has unveiled plans to redomicile its parent company to Texas as the company continues building out a fully integrated American titanium supply chain. The announcement coincides with the appointment of advanced manufacturing executive Michael J. Loparco to the board as an independent non-executive director, effective Monday, August 3.

The proposed restructure, which remains subject to shareholder, court, regulatory, and other approvals, would result in a newly incorporated Texas entity becoming the group's ultimate parent company. Subject to final structuring and exchange approvals, the new parent's stock is expected to be listed directly on Nasdaq.

IperionX stated that the redomiciliation would not alter its assets, operations, or strategic priorities. Rather, the move is designed to better align the company's legal and capital markets structure with its U.S.-based operations, which include critical minerals activities in Tennessee, titanium metal production and advanced manufacturing in Virginia, and research and development in Utah. The company also expects the change to simplify access for U.S. investors, broaden its institutional shareholder base, and improve access to growth capital.

Titanium is designated by the U.S. government as one of 50 critical minerals essential to national security and economic prosperity, and the United States currently relies on imports for the majority of its titanium sponge supply. The company's domestic supply chain push aligns with broader federal efforts, including Defense Production Act and Defense Industrial Base initiatives, to reduce reliance on foreign sources of strategically important materials.

CEO Taso Arima said the redomiciliation reflects where the company's operations, customers, and government-supported programs are already based. He added that the move would create a simpler investment structure for U.S. investors while better positioning IperionX to access the capital and strategic relationships needed to scale its American titanium platform.

The Australian company is developing a fully integrated domestic titanium supply chain, spanning titanium minerals and recycled feedstocks through to titanium metal production and advanced manufactured products for defence and other strategically important U.S. industries.

Newly appointed director Michael J. Loparco brings more than 25 years of experience across manufacturing, industrial technology, automation, and supply chains. He currently serves as chief executive and co-founder of OrcaWorcs.ai and previously held the role of chief executive at Symbotic, where he led the company through its CY22 Nasdaq listing. Prior to that, Loparco spent over two decades in senior leadership positions at manufacturing services company Jabil.

Shares of IPX were down 2.62% on the day, trading at $2.97 per share.
