Adani Energy Solutions has launched a Qualified Institutional Placement (QIP) to raise approximately $364 million, with the floor price fixed at ₹1,698.15 per share.
Under Securities and Exchange Board of India (SEBI) regulations, the company may, at its discretion, offer a discount of up to 5% on the floor price when finalising the issue price. The final issue price will be determined by Adani Energy Solutions in consultation with the book-running lead managers managing the offering.
A QIP is a capital-raising instrument available to listed companies in India, allowing them to issue shares or convertible securities to qualified institutional buyers without undergoing a lengthy public issue process. The mechanism was introduced by SEBI to enable Indian-listed companies to access domestic capital markets more efficiently.
Adani Energy Solutions, part of the Adani Group and formerly known as Adani Transmission, is one of India's largest private-sector power transmission and distribution companies. The company operates transmission networks, smart metering infrastructure, and distribution assets across multiple states. India's electricity demand has repeatedly hit record highs in recent years, driving the need for expanded and modernised transmission infrastructure—a trend that underscores the capital requirements facing companies in this sector.
The QIP opening comes alongside the broader Adani Group's fundraising and capital expenditure plans across its energy and infrastructure portfolio. The group has been working to rebuild institutional investor confidence following the short-seller report by Hindenburg Research in January 2023, which led to a sharp sell-off in Adani-listed stocks and prompted the conglomerate to accelerate deleveraging efforts and diversify funding sources. Sister company Adani Green Energy also recently reported its Q1 financial results.
