SEC Proposes Crypto Asset Offering Rules With New Registration Exemptions
The U.S. Securities and Exchange Commission proposed “Regulation Crypto Assets,” a tailored securities offering framework for certain investment contracts involving crypto assets. The proposal would create two exemptions from Securities Act registration: a one-time exemption allowing offerings of up to $5 million over a four-year period, and another allowing offerings of up to $75 million in any 12-month period. Both would require investor disclosures, while the larger exemption would also require financial statements and ongoing reporting.
The proposal would also establish a conditional safe harbor under which a crypto asset could cease to be subject to an investment contract if specified conditions are met, including after an issuer has completed or permanently ceased the essential managerial efforts it had promised to undertake. The SEC will accept public comments for 60 days after publication in the Federal Register.
