(ZEEL) shareholders have approved a Rs 3,143.5 crore preferential warrant issue to a promoter group entity, clearing the path for increased promoter ownership of up to 23.79%. The approval, secured through a shareholder vote, marks a significant step in the company's efforts to bolster its capital base after the collapse of its proposed merger with Sony Pictures Networks India, which was called off in January 2024. The failed merger had been positioned as a transaction that would have created one of India's largest media conglomerates, and its cancellation left Zee seeking alternative strategies to strengthen its balance sheet and competitive positioning.
The preferential warrant issue will allow the promoter group entity to subscribe to warrants that can later be converted into equity shares, subject to applicable regulatory guidelines. Under Securities and Exchange Board of India (SEBI) regulations, subscribers to preferential warrants are required to pay at least 25% of the issue price upfront, with the remaining amount due upon conversion within a stipulated period. Upon conversion, promoter holdings in Zee Entertainment would rise to 23.79%, reinforcing the promoter group's stake in India's prominent media and entertainment company.
In addition to the warrant issue, investors also approved the company's new Employee Stock Ownership Plan (ESOP). The scheme is designed to enhance employee ownership and align workforce incentives with the company's long-term objectives as Zee strengthens its financial position and pursues future growth.
Zee Entertainment Enterprises is one of India's largest television broadcasting and digital content companies, operating a wide portfolio of channels across multiple languages and genres alongside its digital streaming platform, ZEE5.
